NordSecurity Terms & Conditions
1. Scope & Acceptance
- These Terms govern Partner’s request, authorisation, and activation of services ("Vendor Services") provided by Nord Security ("Vendor") billed through Wavelink ("Company")
- By submitting the online form and clicking “I agree,” Partner agrees these Terms are legally binding, and that any Vendor Services activated by or for Partner where Company is designated as billing/reseller will be invoiced by Company
- These Terms supplement any existing master agreement; in case of conflict, the Trading Terms prevail unless stated otherwise in clause 18.
2. Partner Authority & Instructions
- Partner warrants the individual accepting these Terms is authorised to bind the Partner.
- Partner authorises Company to register, provision, or link Vendor Services to Partner’s accounts and accept service orders or changes requested by Partner or its Users.
- Vendor-Portal Activations: Any activation made directly on the Vendor portal designating Company as the billing partner constitutes a binding order to Company
3. Orders, Changes, and Renewals
- Orders may be placed through the form, email, or by Vendor-portal activation.
- Vendor Services auto-renew unless cancelled per Vendor policy.
- Changes to seats, upgrades, or downgrades follow Vendor rules.
4. Pricing, Billing & Payment
- Fees include Vendor charges plus Company margin/fees where applicable.
- Invoices are payable according to Partner’s credit terms with Company
- All charges exclude GST unless stated.
5. Term; Suspension; Termination
- These Terms continue while Vendor Services remain active or amounts are outstanding.
- Company may suspend services for non-payment, fraud, risk, or Vendor instruction.
- Company may terminate for material breach not cured within 30 days.
6. Partner Responsibilities
- Partner is responsible for authorised and unauthorised activations by its Users.
- Partner must notify Company of suspected unauthorised activity.
7. Vendor Terms; Third‑Party Services
- Vendor Services are governed by Vendor terms and SLAs.
- Any Vendor minimum commitments or non‑refundable fees flow through to Partner.
8. Data, Privacy & Security
- Each party must comply with applicable privacy laws.
- Partner authorises Company to share required data with Vendors to provision services.
9. Confidentiality
- Non-public information exchanged is confidential and must be protected accordingly.
10. Warranties & Disclaimers
- Company provides commercially reasonable ordering and billing services.
- Vendor Services are provided "as is" by the Vendor.
- Australian Consumer Law protections remain unaffected.
11. Indemnity
- Partner will indemnify Company for claims or losses arising from Partner activations, misuse, breaches, or failure to pay.
12. Liability Limitation
- Company’s liability is limited to fees paid for the affected service in the preceding 12 months.
- Company is not liable for indirect or consequential loss.
13. Records; Audit
- Vendor system records may be relied on for billing.
- Company may audit usage data with reasonable notice.
14. Compliance; Anti‑Bribery; Sanctions
- Partner must comply with applicable laws and not use Vendor Services in prohibited jurisdictions.
15. Notices
- Notices may be delivered by email to the contacts provided.
16. Governing Law & Dispute Resolution
- These Terms are governed by the laws of New South Wales, Australia.
- Parties submit to the exclusive jurisdiction of NSW courts.
17. Changes to Terms
- Company may update Terms; continued use constitutes acceptance.
18. Relationship to Partner Trading Terms
- The parties’ existing Trading Terms remain fully in force.
- These Terms apply only to Vendor Services activation, provisioning, and billing.
- These Terms supplement (and do not replace) the Trading Terms.
- If there is a conflict, the Trading Terms prevail except where necessary to enforce obligations relating to Vendor activation, billing, and indemnities.
- Acceptance of these Terms does not modify the Trading Terms unless mutually agreed in writing.
